Terms of service
These Terms of Service (“Terms”) govern your access to and use of hokori.io and any related websites, interfaces, data feeds, tools, content and features that we make available (together, the “Services”). The Services are operated by Ad Hok Development LLC, a Wyoming limited liability company (“Hokori”, “we”, “us” or “our”). Please read these Terms carefully before using the Services. They replace any earlier agreement, representation or understanding about your use of the Services. If you do not agree to all of these Terms, you must not use the Services.
THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, RELEASES, A CLASS-ACTION WAIVER, A JURY-TRIAL WAIVER AND A REQUIREMENT TO RESOLVE ALL CLAIMS BY BINDING INDIVIDUAL ARBITRATION (SECTIONS 25 TO 27). THEY APPLY TO CLAIMS AGAINST HOKORI AND ITS AFFILIATES, MANAGERS, MEMBERS, SERVICE PROVIDERS, PARTNERS, ADVISORS AND VENDORS (TOGETHER, THE “COVERED PARTIES”), WHO ARE EXPRESS THIRD-PARTY BENEFICIARIES OF THE ARBITRATION PROVISIONS. THESE PROVISIONS ARE AN ESSENTIAL BASIS OF THIS AGREEMENT.
You accept these Terms in full when you do any of the following: (a) access or use the Services; (b) connect a wallet to the Services; (c) create, buy, sell or otherwise transact in any digital asset through the Services; or (d) convert or stake HOKORI through the Services.
1. Definitions
- “Smart Contracts” means the self-executing programs on public blockchains that the Services let you interact with, including Hokori’s launch factory, bonding curves, fee vaults and liquidity lockers on Solana; the HOKORI token, locker, conversion gateway, staking contract and fee splitter on Solana; and the HOKORI conversion program on Solana. Their addresses are listed on the Transparency page.
- “User-Created Coin” means any digital asset created by a user through the Services.
- “HOKORI” means the HOKORI token (ticker HKR) on Solana (“Solana HOKORI”) and its one-for-one counterpart on Solana (“Solana HOKORI”).
- “Wallet” means a self-custodial blockchain wallet that you control.
- “EVM Wallet” means a Wallet made for Ethereum and compatible networks whose Ethereum key controls a Solana account of its own through the Services.
- “Network Fees” means the fees charged by a blockchain network (for example Solana or Solana) to process a transaction. They are paid to the network, not to Hokori.
- “Applicable Laws” has the meaning given in Section 19.
2. What Hokori is, and what it is not
2.1 Software. Hokori provides software: a website and related tools that let you interact directly with the Smart Contracts on Solana to create digital assets, buy and sell them, and claim fees, and, for HOKORI, to convert and stake it.
2.2 Non-custodial. We never hold, control or have access to your Wallet, its private keys or recovery phrase, or your digital assets. Every transaction is prepared in your browser, approved by you in your Wallet, and settled by the relevant blockchain. We cannot reverse, cancel or change a transaction once you have submitted it.
2.3 Not a financial institution. Hokori is not a broker, dealer, exchange, trading venue, custodian, money transmitter, investment adviser, fiduciary or financial institution of any kind, and is not registered or licensed as one in any jurisdiction. We do not match orders, set prices, execute trades on your behalf or act as your agent. Prices are set by the Smart Contracts and by other users’ trading. Nothing in our relationship creates any fiduciary or other duty to you beyond those expressly stated in these Terms.
2.4 No endorsement. We do not create, issue, sponsor, review, endorse or verify User-Created Coins, their creators, or anything said about them, and we do not recommend buying, selling or holding any digital asset.
2.5 No advice. Nothing on the Services is financial, investment, legal, tax or other professional advice. You are solely responsible for deciding whether any transaction is right for you. Consider consulting your own advisers.
3. Eligibility
You may use the Services only if you can form a legally binding contract under the laws that apply to you and you are at least eighteen (18) years old, or the age of majority where you live if that is higher. If you use the Services for an entity, you confirm that you are authorized to bind it and that it is duly organized, validly existing and in good standing under the laws of the place where it is organized. If you are a Prohibited User (Section 4) or do not meet these requirements, you do not have permission to use the Services. We may refuse or end anyone’s access to the Services at any time, for any reason, in our sole discretion.
4. Prohibited Users
The Services are not available to: (i) individuals or entities (including those owned or controlled by individuals) that are the subject of economic or trade sanctions administered or enforced by any governmental authority, or that are otherwise designated on any list of prohibited or restricted parties (including those maintained by the United Nations Security Council, the European Union, His Majesty’s Treasury of the United Kingdom (the “UK Treasury”) and the U.S. Department of the Treasury); (ii) individuals or entities placed on the Denied Persons List by the Bureau of Industry and Security of the U.S. Department of Commerce; or (iii) residents or citizens of, or entities located in or organized under the laws of, any country, territory or region subject to a U.S. Government embargo, designated by the U.S. Government as a terrorist-supporting country, or otherwise subject to comprehensive country-, territory- or region-wide sanctions by the United Nations, the European Union, the UK Treasury or the United States, including Cuba, the Crimea, Donetsk and Luhansk regions of Ukraine, Iran, North Korea, Russia, Syria and Yemen (together, “Prohibited Users”).
5. Prohibited Access
You may not access the Services with a Jail-Broken Mobile Device, a Rooted Android Device or the substantial equivalent. A “Jail-Broken Mobile Device” is a mobile device running Apple’s iOS whose software restrictions have been removed by any procedure not authorized by Apple. A “Rooted Android Device” is a device running Android on which privileged root access has been enabled.
Access to the Services is also prohibited to persons and entities of any jurisdiction in which using the Services, or holding or transacting in digital assets, is prohibited by law. You must not use a VPN, proxy, location spoofing or any other means to hide your location, identity or Wallet in order to get around these restrictions.
6. Wallet, digital asset and technology requirements
You are responsible, at all times and at your own cost, for obtaining and maintaining:
- (a) the devices, an up-to-date web browser, internet access and any other equipment, software and communications services needed to use the Services, and for making sure they are compatible;
- (b) a self-custodial Solana Wallet that works with the Services (currently Braavos, Ready and OKX Wallet), or an EVM Wallet that works with the Services (currently Phantom, MetaMask and Robinhood Wallet); we may add or remove supported wallets at any time;
- (c) SOL, the Solana network’s token, to pay Network Fees and to buy coins; and
- (d) to convert HOKORI, a Solana Wallet holding Solana HOKORI and enough SOL to pay Solana Network Fees.
We do not guarantee that the Services can be used on every device, through every network or wireless plan, in every browser, or in every location. Network Fees, data charges and similar costs may apply and are your sole responsibility. A transaction that fails on chain may still cost Network Fees.
You assume all risks of using internet-based blockchain networks, including risks relating to hardware, software and internet connections, the introduction of malicious software, and unauthorized access by third parties to information stored on a blockchain or in your Wallet. Digital assets, cryptocurrencies and blockchain technology are relatively new, and the law that applies to them is unsettled.
7. Your Wallet and its security
You alone control your Wallet and are responsible for keeping its private keys, recovery phrase and passwords secure. We will never ask for your private key, recovery phrase or one-time codes, and you must never share them with anyone who asks, including anyone claiming to be Hokori. Anyone who gains access to your Wallet can move your assets, and we cannot recover them. Check every transaction your Wallet asks you to approve. Please report suspected impersonation of Hokori, or a suspected security problem with the Services, to security@hokori.io.
8. Creating a coin
8.1 Your choices. When you create a coin, you choose its name, ticker, image, description and links, and up to five fee recipients and their shares. The Smart Contracts create the coin in your transaction, and you may buy the first tokens in the same transaction. Every coin’s address ends in “dab”. The Services may show additional information about the coin, including the signals described in Section 14.
8.2 Permanent content. Your coin’s image and details are uploaded from your browser to Arweave, a public, permanent storage network that we do not control. Once uploaded, they cannot be changed or deleted by you or by us. We can only choose whether the Services display them (Section 13).
8.3 Your responsibility for what you publish. You are solely responsible for every image, name and word you publish with your coin. Because uploads are permanent, check them before you launch. You confirm that you have every right needed to publish them and that they comply with Section 13.
8.4 Child sexual abuse material. You must never upload, or use as or with a coin, any child sexual abuse material or any image that sexualizes a minor, in any form, including drawn, edited, synthetic or AI-generated images. We screen uploads, and where we find such material we report it to the appropriate authorities as the law requires, preserve the related records and cooperate with law enforcement. Doing so is a serious crime in most jurisdictions.
8.5 Promoting your coin. Anything you say or publish about your coin, on the Services or elsewhere, must be accurate and not misleading, and you must disclose your own holdings and interest when you promote it. Any arrangement to share fees with other people is solely between you and them. Fees paid to recipients depend on trading, the Smart Contracts and the network, and we do not guarantee any amount. You are responsible for any taxes on fees you receive.
9. Trading, graduation and transactions
9.1 The bonding curve. A new coin trades on its own bonding curve, a Smart Contract whose formula sets the price: the price rises as tokens are bought and falls as they are sold. The minimum trade is 0.1 SOL.
9.2 Estimates and limits. Before you sign, the Services show an estimate of the result, including the price impact of your trade. You set a slippage limit: your trade executes within that limit or fails. The Smart Contracts, not the Services, determine the actual result, which may differ from the estimate.
9.3 Graduation. When every token offered on a coin’s curve has been bought, the coin graduates: its liquidity moves to a pool on Ekubo, a third-party protocol on Solana, where it is locked permanently by the Smart Contracts, and trading continues there.
9.4 Transactions are final. Blockchain transactions cannot be reversed. A transaction may fail, be delayed or execute at a different time than you expect, for reasons including network congestion, other users’ transactions submitted before yours (sometimes called front-running), changes in Network Fees, and outages of wallets, networks or providers. We do not guarantee that any transaction will execute, or execute at any particular price or time.
10. Fees
Coins launched through Hokori’s launch factory pay the following fees, which are set in its Smart Contracts and collected by them automatically:
- Trading fee: 0.9% of every buy and sell. 85% of it goes to the coin’s fee recipients, chosen by its creator, and 15% to Hokori.
- Graduation fee: 1% of the curve’s reserve when a coin graduates, divided the same way.
- Launch window: buys in the block in which a coin is created, and in the next block, pay a fee of 99%, to discourage automated sniping.
- No launch fee.
- Network Fees are paid to the network, not to Hokori.
The fees for coins launched through a factory are fixed in its Smart Contract and cannot be changed for those coins. Hokori’s share goes to Hokori’s fee splitter contract. The current figures and every contract address are on the Transparency page.
11. HOKORI conversion
Solana HOKORI exists only as a one-for-one counterpart of Solana HOKORI. The entire Solana supply of 1,000,000,000 HOKORI was created once and placed in a locker contract, and nothing can create more. To convert, you burn Solana HOKORI through the conversion program on Solana, naming your Solana address. When two of Hokori’s three independent attester keys have confirmed that the burn is final, the same amount is released from the locker to that address.
- Irreversible. Burned Solana HOKORI is destroyed. There is no way to convert Solana HOKORI back to Solana HOKORI.
- Check the destination. Coins credited to a wrong address cannot be recovered.
- Timing and limits. Conversion depends on the attester services, the networks and their providers, and may be delayed. A burn above the conversion limits in force is held for manual review before it is credited. We may pause conversion, for example during a security incident or where the law requires it. We will make reasonable efforts to credit every valid burn, but we do not guarantee when.
- No market from Hokori. Hokori does not operate a market for Solana HOKORI. Solana HOKORI trades on third-party venues that we do not control, and we do not guarantee the value or liquidity of HOKORI on any network.
12. Staking
There is no communication regarding staking. No offer is made, and no agreement is formed, that could form the basis of an investment contract. Staking is optional and at your sole discretion.
13. Content, moderation and intellectual property
13.1 Your content. You keep ownership of the names, images, descriptions, links and profile details you submit (“Your Content”). You grant Hokori a worldwide, royalty-free, non-exclusive, perpetual and irrevocable licence to host, store, reproduce, display, distribute and make Your Content available, and to let our service providers do so, as needed to operate, display, promote and improve the Services. The licence is perpetual because content on Arweave is permanent.
13.2 Prohibited content. You must not create, name, describe or illustrate a coin or profile with content that:
- sexualizes or exploits a minor in any way, or depicts child sexual abuse (Section 8.4);
- depicts gore, cruelty or graphic violence, or glorifies violence or terrorism;
- is pornographic or sexually explicit;
- harasses, threatens or incites hatred against a person or group, or promotes hate symbols;
- reveals someone’s private information, or impersonates a person, company or project;
- infringes a trademark, copyright or other right; or
- is otherwise unlawful where Hokori is operated or where you are.
13.3 Moderation. We screen uploaded images automatically and may review content. We may decline to display any coin, image, profile or other content on the Services, at any time and without notice, including where we reasonably believe this Section is breached, where we receive a credible report, or where the law requires it. This does not change the coin or its Smart Contracts on chain, and we are not required to explain our decisions. Where the law requires it, we report apparent child sexual abuse material to the appropriate authorities and preserve related records. We cooperate with lawful requests from law enforcement. Report content to abuse@hokori.io.
13.4 Copyright and trademark complaints. If you believe that content shown on the Services infringes your copyright or trademark, email abuse@hokori.io with: (a) a description of the work or mark; (b) where it appears on the Services (the coin’s address or the page’s link); (c) your name, address, telephone number and email address; (d) a statement that you believe in good faith that the use is not authorized by the owner, its agent or the law; (e) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner; and (f) your physical or electronic signature. We may stop displaying the content and may tell the person who published it. Because coin content is stored permanently on Arweave, we can stop displaying it on the Services but cannot remove it from Arweave. We may stop displaying content from, and restrict access to the Services by, anyone who repeatedly infringes others’ rights.
13.5 Our intellectual property. The Services, including their software, design, text, graphics, logos and the Hokori name, belong to Hokori or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services for your own use in line with these Terms. You may not use the Hokori name or logos in a way that suggests our endorsement without our written permission.
14. Information shown on the Services
The Services show prices, charts, market values, dollar estimates, holder information and signals about coins, such as how much a coin’s creator holds, whether the creator has sold, buying in the launch window, and the share held by the largest holders. This information comes from blockchain data and third-party price sources. It may be delayed, incomplete or wrong. Signals can be gamed, for example by holding through several wallets. All of it is provided for information only and is not advice. Dollar figures are estimates based on a third-party SOL price.
15. Prohibited conduct
You must not, directly or through others, on or off the Services:
- (a) break these Terms or any Applicable Law;
- (b) manipulate or try to manipulate the market for any digital asset, including through wash trading, spoofing, pump-and-dump schemes, coordinated trading or false or misleading statements;
- (c) commit or facilitate fraud, scams or impersonation, including through AI-generated images, video or voices that falsely suggest endorsement, affiliation or authority;
- (d) use the Services to raise money for a business, or to offer anything presented as a security, investment contract, ownership, profit-sharing or debt interest;
- (e) launder money, finance terrorism, or evade sanctions or the restrictions in Sections 4 and 5;
- (f) attack, probe, overload or interfere with the Services or their infrastructure, or access them other than through the website, our published data feeds and SDK, or the Smart Contracts directly;
- (g) exceed or get around rate limits or other technical restrictions; or
- (h) upload viruses or other malicious code.
16. Changes, suspension and access
We may change, suspend or discontinue any part of the Services at any time, and may restrict or end your access to the Services for any reason or none, without notice. Because the Smart Contracts run on public blockchains, the digital assets in your Wallet remain yours and can be used through other interfaces even if the Services are unavailable to you.
17. Not an investment
USER-CREATED COINS AND HOKORI ARE NOT INVESTMENT OPPORTUNITIES, INVESTMENT CONTRACTS OR SECURITIES OF ANY KIND.
By using the Services, you acknowledge and agree that you are not acquiring any digital asset in the expectation of profit from the efforts of Hokori or any other person. Digital assets on the Services may be extremely volatile, and you may lose everything you spend. We make no statement that any digital asset will rise in value or keep its value. No content on the Services is, or should be taken as, advice, a recommendation, or an invitation to enter into any agreement for investment purposes, and no part of the Services is an offer of securities or other financial products in any jurisdiction.
IT REMAINS YOUR SOLE RESPONSIBILITY TO MAKE SURE THAT YOUR USE OF THE SERVICES AND YOUR TRANSACTIONS IN DIGITAL ASSETS COMPLY WITH THE LAWS OF YOUR JURISDICTION AND OF ALL APPLICABLE JURISDICTIONS. ALL TRANSACTIONS ARE FINAL AND NON-REFUNDABLE.
We have no responsibility or liability for any digital assets that are lost, misplaced or inaccessible.
18. Taxes
You are solely responsible for determining, reporting and paying any taxes that apply to your use of the Services, including on trades, fees you receive as a creator or fee recipient, conversions, staking, and any other amount you receive.
19. Compliance with laws
There are rules, regulations and laws that address digital assets and blockchain technology (“Emerging Technology Laws”), and they may be adopted by any U.S. state or other jurisdiction, inside or outside the United States. You are also subject to all municipal, state and federal laws, rules and regulations of the places where you live and from which you access the Services (together with Emerging Technology Laws, “Applicable Laws”). You agree to comply with, and are solely responsible for complying with, all Applicable Laws. You acknowledge that your use of the Services is at your own risk, and that we are not responsible if any Applicable Law restricts or prohibits your access to the Services or your ability to transact in any digital asset.
20. Third-party services
The Services rely on, and may link to, services we do not control, including the Solana and Solana networks; Ekubo; Arweave and its upload service; wallets; blockchain data providers; Cloudflare; price sources; content-screening providers; social media; and, for Solana HOKORI, third-party trading venues, bridges and on-ramps. We do not endorse them and are not responsible or liable for their terms, privacy practices, content, availability, security, fees or actions, or for any loss arising from your use of them. Your use of any third-party service is subject to its own terms.
WE DISCLAIM ANY LIABILITY FOR THE PRICE, MARKET CONDITIONS OR TRADING VOLUME OF ANY DIGITAL ASSET ON THIRD-PARTY VENUES; FOR LOSS OF FUNDS OR DIGITAL ASSETS FROM TECHNICAL ERRORS, HACKS OR OTHER SECURITY BREACHES OF THIRD-PARTY SERVICES; AND FOR ANY DECISION BY A THIRD-PARTY VENUE, INCLUDING LISTING, DELISTING OR RESTRICTING TRADING IN ANY DIGITAL ASSET.
21. Assumption of risk
Digital assets, and memecoins in particular, can lose all their value quickly, and most do. Smart Contracts can contain bugs. Networks can be congested, halted or changed. Wallets, devices and accounts can be compromised. Laws and regulations may change in ways that affect digital assets, the Services or your ability to use them. You understand and accept all of these risks, and those described on the Risks page, which forms part of these Terms. You assume full responsibility for any disruption or other problem affecting the Solana or Solana networks, and we do not guarantee the functionality, transferability or future availability of any digital asset.
22. Disclaimer of warranties
THE SERVICES, THE SMART CONTRACTS AND ANY DIGITAL ASSETS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, ARE DISCLAIMED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM VIRUSES OR OTHER HARMFUL CODE. IN PARTICULAR, WE DO NOT WARRANT THAT THE SERVICES, THE SMART CONTRACTS, ANY DIGITAL ASSET OR ANY BLOCKCHAIN: (A) WILL MEET YOUR REQUIREMENTS; (B) WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED; (C) WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) WILL BE PROTECTED SUFFICIENTLY AGAINST INTERFERENCE OR INFRINGEMENT; (E) WILL RESULT IN ANY INCOME, REVENUE OR OTHER FINANCIAL OUTCOME; OR (F) WILL BE ACCURATE OR RELIABLE. THEY MAY CONTAIN BUGS, ERRORS AND OTHER LIMITATIONS. NO ADVICE OR INFORMATION, ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. YOU ACKNOWLEDGE THAT YOU HAVE NOT RELIED ON ANY REPRESENTATION OR WARRANTY BY US OR ANYONE ACTING FOR US.
23. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, ENHANCED OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, STATUTORY DAMAGES, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THEIR POSSIBILITY, ARISING FROM: (A) THE USE OF OR INABILITY TO USE THE SERVICES, THE SMART CONTRACTS OR ANY DIGITAL ASSET; (B) ANY TRANSACTION, INCLUDING ONE THAT FAILS, IS DELAYED OR EXECUTES DIFFERENTLY FROM WHAT YOU EXPECTED; (C) UNAUTHORIZED ACCESS TO YOUR WALLET OR DEVICES; (D) ANY MATTER RELATED TO A BLOCKCHAIN NETWORK, DIGITAL ASSET OR WALLET; (E) THE CONTENT OR CONDUCT OF ANY USER OR THIRD PARTY, INCLUDING ANY USER-CREATED COIN; (F) THE FAILURE TO REALIZE ANY REVENUE, REWARD OR OTHER FINANCIAL OUTCOME; OR (G) ANY OTHER MATTER RELATING TO THE SERVICES. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION, DECEPTIVE AND UNFAIR TRADE PRACTICES AND OTHER TORTS. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE US FROM ALL OBLIGATIONS, LIABILITIES AND CLAIMS IN EXCESS OF THESE LIMITATIONS. IF APPLICABLE LAW DOES NOT PERMIT THIS EXCLUSION, OUR MAXIMUM TOTAL LIABILITY TO YOU UNDER ALL CIRCUMSTANCES WILL BE ONE U.S. DOLLAR (US$1.00). THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF OUR BARGAIN; WE WOULD NOT PROVIDE THE SERVICES WITHOUT THEM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, AND IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT THE LAW ALLOWS.
24. Indemnification
24.1 Indemnity. To the fullest extent permitted by law, you agree to indemnify and hold harmless Hokori and the other Covered Parties from and against all claims, expenses (including reasonable attorneys’ fees), damages, suits, costs, demands and judgments made by any third party arising out of: (a) your use of the Services; (b) any coin you create or content you submit; (c) your breach of these Terms or violation of Applicable Laws; (d) any dispute between you and other users or third parties; (e) any claim that we owe taxes, fees, penalties or fines in connection with your use of the Services; (f) any financial loss from changes in the price of any digital asset; or (g) your violation of the rights of any person or entity. Hokori may assert and enforce these provisions directly against you.
24.2 Disputes with others. Your dealings with other users and third parties, including creators, buyers, sellers and fee recipients of any coin, are solely between you and them. To the fullest extent permitted by law, you release Hokori and the other Covered Parties from all claims, demands and damages of every kind, known and unknown, arising out of or in any way connected with any such dispute. This release does not cover a claim arising from our own breach of these Terms.
25. Governing law and arbitration
25.1 Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.
25.2 Arbitration. You, Hokori and the Covered Parties agree to resolve by binding arbitration all claims and disputes that arise under or relate to the Services or these Terms, including their breach, interpretation, validity or scope. Arbitration will take place before JAMS in Delaware, under its then-current commercial arbitration rules.
25.3 Informal resolution first. Before starting arbitration, the party raising a dispute must send the other a written notice describing the dispute and the relief sought (to contact@hokoripad.fun for us, or to the contact details we have for you), and both parties will try in good faith to resolve it informally for thirty (30) days after the notice is received.
25.4 Time limit. To the extent the law allows, any claim must be brought within one (1) year after the facts giving rise to it first arose, or it is permanently barred. The time limit is suspended while the informal resolution in Section 25.3 is under way.
25.5 Opting out. You may opt out of arbitration by emailing contact@hokoripad.fun, with your Wallet address and a statement that you opt out of arbitration, within thirty (30) days after you first accept these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Delaware, and the class-action waiver in Section 26 still applies to the extent the law allows.
25.6 Scope. The arbitrator has exclusive authority to decide all questions about the scope, validity, enforceability and arbitrability of this agreement to arbitrate, except that a court decides whether the class-action waiver in Section 26 is enforceable.
25.7 If the class-action waiver fails. If the class-action waiver in Section 26 is found unenforceable for a particular dispute, this agreement to arbitrate does not apply to that dispute, which will instead be decided in the state or federal courts located in Delaware. The rest of this Section continues to apply to every other dispute. These arbitration provisions survive the end of these Terms.
26. Class-action waiver
To the extent permitted by law, you agree that you will not bring, join or participate in any class action lawsuit as to any claim, dispute or controversy that you may have. You agree to the entry of injunctive relief to stop such a lawsuit or to remove you as a participant in it, and to pay the attorneys’ fees and court costs that Hokori incurs in seeking such relief. This provision (i) does not waive any of your rights or remedies to pursue a claim individually, and not as a class action, in binding arbitration as provided above; and (ii) is an independent agreement.
27. Jury-trial waiver; no sale-of-goods convention
FOR THE PURPOSES OF ANY COURT PROCEEDINGS, YOU AGREE THAT ANY DISPUTE SHALL BE TRIED BEFORE A JUDGE AND NOT A JURY, AND YOU WAIVE ANY RIGHT TO A TRIAL BEFORE A JURY. THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS DOES NOT APPLY TO THESE TERMS OR TO ANY TRANSACTION UNDER THEM.
28. California residents
IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA, AND ANY SIMILAR LAW OF ANY STATE OF THE UNITED STATES, AS AGAINST THE COVERED PARTIES. SECTION 1542 READS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
Under California Civil Code Section 1789.3, California residents may file grievances and complaints with the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 400 R Street, Suite 1080, Sacramento, CA 95814; by phone at 916-445-1254 or 800-952-5210; or by email to dca@dca.ca.gov.
29. Privacy
Our Privacy page explains what information the Services process and why, and forms part of these Terms. Blockchain transactions, including your Wallet address and its activity, are public and permanent by nature, and we cannot change or delete them.
30. Changes to these Terms
We may amend these Terms, and the Services, at any time without notice to you. The amended Terms will be posted on the Services with an updated “Last updated” date, and you should review them each time you use the Services. By continuing to use the Services, you agree to be bound by the Terms in effect at that time.
31. Contact and notices
Questions: contact@hokoripad.fun. Content reports: the Report button on a coin’s page, or abuse@hokori.io. Security reports and suspected impersonation: security@hokori.io. Official announcements are made only on Hokori’s official X account, @HOKORI_QUANTUM, and on the Services. Formal legal notices to us must be sent by email to contact@hokoripad.fun. We may give you notice through the Services, by posting on our official X account, or through other reasonable means.
32. General
If any part of these Terms is held invalid or unenforceable, that part will be interpreted consistently with Applicable Law to the extent possible, and the rest remains in full force and effect. These Terms govern all use of the Services and take precedence over anything inconsistent in or associated with the Services. Our failure to enforce any provision is not a waiver of it or of the right to enforce it later. These Terms do not create any agency, partnership, joint venture or employment relationship. You may not assign or transfer your rights under these Terms without our written consent; we may assign ours. We are not liable for any delay or failure caused by events beyond our reasonable control. Provisions that by their nature should survive the end of your use of the Services will survive. If these Terms are translated, the English version prevails.
